GENERAL SCOPE OF DUTIES
Under the general supervision of the Director of Contracts and Corporate Compliance, this position supports the organization’s legal and compliance functions across the full contract lifecycle, corporate governance administration, compliance program support as well as intellectual property asset management. This role is critical to supporting the legal operations of a mission-driven, highly regulated organization, committed to improving patient outcomes.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Contract Drafting, Review and Management
Draft, review, and manage a high volume of commercial agreements, including vendor contracts, Master Service Agreements, NDAs, Business Associate Agreements (BAA), Operation Agreements, RFPs and Management Agreements.
Assist with the development and preparation of contract proposals.
Maintain and update contract lifecycle management (CLM) systems.
Track key contractual deadlines and terms (renewals, terminations, compliance milestones).
Ensure contract compliance with applicable laws and internal policies.
Oversee maintenance and auditing of database, runs reports, and/or queries as needed.
Communicate with a variety of internal and external stakeholders during CLM process.
Corporate Governance and Compliance
Support entity management activities, including incorporation, maintenance, and dissolution of subsidiaries
and affiliates.
Assist with the preparation and filing of Corporate Securities Offerings for managed entities.
Assist with preparation of board and committee meeting materials (resolutions, consents, minutes).
Maintain and organize corporate records in accordance with regulatory requirements.
Assist with government contract reporting requirements.
Assist in maintaining IP asset inventories, including trademarks, copyrights, and patents.
Coordinate with external counsel and internal stakeholders to support on a variety of issues including compliance, enforcement, and litigation.
Help manage confidentiality and licensing agreements related to proprietary technology and data.
Other Duties
Drafts and reviews outgoing correspondence from Shared Medical Services
Other duties as assigned.
Requirements
- Ability to work proficiently in a MS Windows and Office applications environment (Word, Outlook, Excel, Access and NetSuite)
- Familiarity with AI assisted technologies and an understanding of appropriate prompting for Corporate legal applications.
- Strong understanding of healthcare regulatory frameworks and contracting norms.
- Experience with contract lifecycle management tools and legal databases.
- Exceptional organizational, communication, and project management skills.
- Ability to manage multiple priorities in a fast-paced, highly regulated environment.
- High degree of professionalism, discretion, and attention to detail.
- Exceptional teamwork mindset and ability to work with a variety of people at all levels
