Description
Troutman Pepper Locke's Employee Benefits and Executive Compensation (EBEC) practice group is seeking an associate with 3 to 6 years of experience to join its team. The ideal candidate will be based in Atlanta, Charlotte, Houston, New York, Philadelphia, or Richmond, though exceptional candidates from other markets may also be considered.
This attorney will play a vital role in supporting client teams on executive compensation matters, particularly for public companies, as well as on the compensation and benefits aspects of M&A transactions. Strong written and oral communication skills are essential, as well as research and analytical skills.
Specific areas of responsibility include, but are not limited to: drafting equity and other incentive plan documents and related award agreements; assisting on executive hiring and termination events, including preparation of executive employment and severance agreements; preparation of public company executive compensation disclosures and proficiency with SEC disclosure rules; drafting and analyzing nonqualified deferred compensation plans, supplemental executive retirement plans, and similar arrangements; supporting transactional work, including compensation and benefits-related due diligence, preparation of disclosure schedules and support on purchase agreements; and monitoring and summarizing legislative and regulatory changes. Experience with key tax rules, including IRC sections 409A and 280G, is important.
This role will also contribute to the EBEC practice's thought leadership initiatives, including client alerts and other business development efforts; and knowledge management initiatives, including maintaining the group's database of documents and other resources.
Candidates must be licensed and in good standing in the state in which they practice.
The salary range for this position is $250,000 - $350,000 dependent on relevant years of experience.
