The candidate will work closely with attorneys supporting registered variable and exchange-traded funds, fixed indexed annuities, and life insurance products. The role requires providing legal assistance related to the drafting, updating and filing of registration statements under the Investment Company Act of 1940 and the Securities Act of 1933. The role will require drafting memoranda, resolutions and other materials for fund board meetings and assisting in creating fund board books. The candidate will also be providing support with respect to all phases of product development for annuities and life insurance. The candidate must possess strong communication, legal research, and analytical skills and thorough attention to detail needed to support attorneys with legal tasks. The position requires collaboration with coworkers and internal and external business partners and attorneys to coordinate and perform legal tasks proficiently with limited guidance. Assists in other areas of Legal as needed.
What you do:
Provide legal support to attorneys:
- Proven ability to multi-task, follow-up, effectively prioritize, and manage all matters and assigned tasks. Specific duties include, with minimal supervision, coordinating the collection of relevant information from various stakeholders, updating and drafting registration statements and other regulatory filings, and preparing memoranda, resolutions, and other items for inclusion in the fund board books.
- The ability to review contracts, advertising, sales literature, customer communications and field communications related to annuity and life insurance products.
- Create and maintain files and calendars to manage workflow and track project timelines, due dates and regulatory deadlines
- Produce accurate, high quality work product with the ability to closely manage multiple matters and process a high volume of work in a timely and accurate manner with a high attention to detail.
- Maintain proficiency with company technology, including software, databases, and ArcPro software.
- Demonstrate a knowledge of legal research and the ability to interpret legal requirements, such as interpreting and understanding Securities Exchange Commission regulations and form requirements, examining and processing a variety of legal and business documents, interpreting state insurance regulations and conducting legal research.
- Establish, develop and manage effective working relationships at all levels of the organization and act as a liaison with internal and external business partners and attorneys.
- Demonstrate effective written and oral communication skills.
- Ability to demonstrate organizational skills, including the ability to work independently on projects with minimal supervision.
- Assist with implementation of identified process improvements and best practices.
Requirements
What you bring:
Minimum Requirements:
- 5+ years’ experience as a paralegal, or functional equivalent, in a law firm or corporate legal department.
- Direct experience with securities registration statements under the Investment Company Act of 1940 or the
Securities Act of 1933.
Preferred:
- Direct experience with registered variable and exchange-traded funds.
- Direct experience supporting the development of annuities and life insurance at a law firm and/or in-house.
- Knowledge of state insurance laws and regulations applicable to annuities and life insurance.
- Experience in interacting with state regulators and IIPRC on product filings.
- Direct experience with ArcPro software.
- ABA-approved Paralegal Certificate or ABA-approved Paralegal Associate of Applied Science Degree (A.A.S. 2 year Paralegal degree), or equivalent training.
